Acceptance of the Terms of Use

These Terms of Use (“Terms” or “Agreement”) are a legal agreement between you and HeyNoah, Inc (“HeyNoah,” “we,” “our,” or “us”) and govern your use of all text, data, information, software, graphics, photographs and other materials that we and our affiliates may make available to you (collectively, the “Documentation”), including our websites and any services, plug-ins, software or other downloadable tools (the “Platform” or “Website” and together with the Documentation, the “Services”).

HeyNoah “Users” are people who have created a HeyNoah account (“Customer(s)”). HeyNoah “Invitees” are people who interact with a HeyNoah User (for example, by scheduling an appointment) but may not have registered with HeyNoah. HeyNoah “Viewers” are people who visit the HeyNoah Website without necessarily being Users or Invitees. If you are entering into these Terms on behalf of a company or other organization, you represent and warrant that you are authorized to do so (“Authorized User”).

READ THESE TERMS CAREFULLY BEFORE BROWSING OR USING THIS WEBSITE. USING THE SERVICES INDICATES THAT YOU HAVE READ AND ACCEPT THESE TERMS. THESE TERMS CONTAIN A DISPUTE RESOLUTION AND ARBITRATION PROVISION, INCLUDING A CLASS ACTION WAIVER, THAT AFFECTS YOUR RIGHTS.

By using the Services or by clicking to accept or agree to these Terms when the option is presented, you accept and agree to be bound by these Terms and our Privacy Policy, available at https://heynoah.io/privacy, which is incorporated herein by reference. If you do not agree, you must not use the Services.

Our Services are not intended for individuals under 18 years of age. By registering for a HeyNoah account, you confirm that you are at least 18 years old and responsible for ensuring that all HeyNoah Users and Invitees are also at least 18 years old.

Changes to the Terms of Use

We may revise and update these Terms at any time in our sole discretion. Changes are effective immediately when posted and apply to all access to and use of the Services thereafter. Your continued use of the Services after such changes means you accept them.

Scope

HeyNoah’s Services facilitate AI-powered scheduling, productivity, and communication assistance. You may only use the Services in accordance with these Terms and any related policies or guidelines.

Accessing the Services and Account Security

We reserve the right to withdraw or amend the Website and Services at any time without notice. We will not be liable if any part of the Services is unavailable at any time. From time to time, we may restrict access to certain parts of the Services.

To access the Services, you may need to provide registration details or other information. You agree that all information you provide will be correct, current, and complete, and that it will be governed by our Privacy Policy.

If you are provided with login credentials, you must keep them confidential and not share them with others. You are responsible for all activity under your account and must notify us immediately of any unauthorized use.

Intellectual Property Rights

The Website, Services, downloadable tools, and all related features and content are owned by HeyNoah or its licensors and are protected by copyright, trademark, and other intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial purposes only, except where otherwise explicitly allowed. You may not copy, modify, distribute, create derivative works, or publicly display any materials from our Services except as expressly permitted.

Trademarks

The company name HeyNoah, the HeyNoah logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HeyNoah, Inc. You must not use them without prior written permission.

Prohibited Uses

You may not use the Services to:

Violate any applicable laws or regulations.
Exploit or harm minors.
Send spam or unsolicited messages.
Impersonate HeyNoah, another user, or any other entity.
Upload viruses, malicious code, or harmful content.
Interfere with the operation of the Services.

Account Setup and Billing

To use the Website, you must set up a HeyNoah account. You may have either a free account (“Free Account”) or a paid account (“Paid Account”). We reserve the right to terminate duplicate free accounts or inactive accounts.

Paid Accounts require valid billing information. By subscribing, you authorize recurring charges until you cancel. Fees are non-refundable unless required by law.

Renewal and Cancellation

Paid Accounts automatically renew for the same subscription period unless canceled before the renewal date. You can cancel anytime in the account settings. Cancellation is effective immediately.

User Contributions

Any content you post on the Website (“User Contributions”) will be considered non-confidential and non-proprietary. By posting, you grant HeyNoah a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for operating and improving the Services.

You represent that you own or have the right to share your User Contributions and that they comply with these Terms.

Monitoring and Enforcement

We may:

Remove or refuse to post User Contributions.
Take action if content violates these Terms or applicable laws.
Disclose your identity if required by law.
Suspend or terminate accounts for violations.

Content Standards

User Contributions must not:

Be defamatory, obscene, offensive, or hateful.
Promote illegal activity.
Infringe on intellectual property rights.
Impersonate others or misrepresent your identity.

Third-Party Links

Our Services may contain links to third-party sites. These are provided for convenience only, and we are not responsible for their content or practices.

Local Laws and Export Control

You are responsible for complying with local laws and U.S. export regulations when using the Services.

Disclaimer of Warranties

The Services are provided “AS IS” without any warranties. We do not guarantee error-free operation, uninterrupted access, or that the Services will meet your requirements.

Limitation of Liability

To the maximum extent permitted by law, HeyNoah is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Indemnification

You agree to defend, indemnify, and hold harmless HeyNoah and its affiliates from any claims, liabilities, or expenses resulting from your violation of these Terms or your use of the Services.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You agree to submit to the jurisdiction of the courts located in California unless arbitration applies.

Arbitration

At our discretion, disputes may be resolved through binding arbitration under the rules of the American Arbitration Association.

Limitation on Time to File Claims

Any claims must be filed within one (1) year after the cause of action accrues, or they are permanently barred.

Waiver and Severability

No waiver of any term is a waiver of other terms. If any provision is found unenforceable, the remainder will still apply.

Entire Agreement

These Terms, our Privacy Policy, and any applicable sales terms constitute the full agreement between you and HeyNoah.
